Terms & Conditions

1. Acceptance of Terms

By registering for, accessing, or using DokaanDigit ("the App", "the Service") in any form - including the web application at app.dokaandigit.com, associated Admin Panel, and any mobile experience - you ("User", "Merchant", "you") agree to be legally bound by these Terms & Conditions. If you do not agree, you must not use DokaanDigit.

2. About DokaanDigit

DokaanDigit is a Progressive Web App (PWA) developed and operated by NTechEdge, designed to help small and medium businesses in Bangladesh digitally manage sales, credit ledgers (বাকি খাতা), inventory, invoicing, and business reporting across multiple Business Categories (Clothing & Fashion, Grocery, Pharmacy, Electronics, Personal Savings, and others).

3. Eligibility & Account Registration

• You must be at least 18 years old, or the age of majority in your jurisdiction, to create a DokaanDigit account

• Registration requires a valid phone number, verified via One-Time Password (OTP)

• You are responsible for maintaining the confidentiality of your account PIN and must not share it with any third party

• You must provide accurate business information, including your correct Business Category, to ensure the App functions correctly for your use case

• NTechEdge reserves the right to suspend or terminate accounts found to contain fraudulent or materially inaccurate information

4. Permitted Use & Prohibited Activities

You agree to use DokaanDigit only for lawful business or personal financial record-keeping purposes. You agree NOT to:

• Use the App for any unlawful purpose or in violation of the laws of Bangladesh, including the Digital Security Act 2018 and the Information and Communication Technology Act 2006

• Attempt to gain unauthorized access to any other User's account, data, or shop records

• Use the SMS/Notification Credit System to send unsolicited, abusive, or unlawful messages to any third party

• Reverse engineer, decompile, or attempt to extract the source code of the App

• Use automated bots, scrapers, or scripts to interact with the App without prior written permission

• Resell, sublicense, or provide access to your DokaanDigit account to unauthorized third parties

5. Subscription Plans & Billing

DokaanDigit offers multiple subscription tiers (Free, Basic, Pro, Business, and Enterprise). Details of features included in each tier are described on the App and may be updated from time to time.

• All subscription fees are quoted and charged in Bangladeshi Taka (BDT)

• Payments are processed via bKash and other approved Mobile Financial Service (MFS) or payment gateway providers. See Document 6 for full payment disclosure

• New Users are entitled to a 15-day free trial with full Pro-tier feature access, as further described in the App

• Subscriptions renew monthly unless cancelled by the User prior to the renewal date

• Where Auto-Pay (recurring billing) is enabled, DokaanDigit is authorized to initiate a recurring charge via the User's selected bKash-tokenized payment method on each billing date, until the User disables Auto-Pay from Account Settings

• SMS/Notification Point purchases (see Document 6) are separate, one-time purchases and are non-recurring unless the User explicitly enables an auto-refill option

6. Multi-Shop & Category Features

• Users on Free and Basic plans may operate one (1) Shop per account

• Users on Pro plan may add additional Shops for an incremental fee per Shop, as displayed in the App

• Users on Business plan may operate up to three (3) Shops within their base subscription; additional Shops beyond this incur an incremental fee

• Enterprise plan Users may operate an unlimited number of Shops, subject to the terms of their Enterprise Agreement

• Each Shop's data (sales, customers, inventory) is stored and managed separately, even where multiple Shops exist under one account

7. Intellectual Property

All software, source code, designs, the DokaanIQ AI engine, and the DokaanDigit and NTechEdge trademarks are the exclusive property of NTechEdge, protected under the laws of Bangladesh and applicable international treaties. Your subscription grants you a limited, non-exclusive, non-transferable license to use the App for its intended purpose - it does not transfer any ownership of the underlying software or intellectual property to you.

8. Data Ownership

You retain ownership of the business and personal financial data you enter into DokaanDigit (sales records, customer information, inventory, personal income/expense records). NTechEdge acts as a data processor for the purpose of providing the Service, as further described in the Privacy Policy (Document 2).

9. Service Availability & Modifications

• DokaanDigit is provided on an offline-first basis; core functions remain available without an active internet connection, with automatic synchronization once connectivity is restored

• NTechEdge may modify, update, or discontinue features of the App at any time, with reasonable notice for material changes affecting paid features

• NTechEdge does not guarantee uninterrupted or error-free operation and is not liable for outages caused by factors beyond its reasonable control, including internet service disruptions, mobile network outages, or third-party payment gateway downtime

10. Limitation of Liability

• NTechEdge's total liability arising from your use of DokaanDigit shall not exceed the total subscription fees paid by you in the three (3) months preceding the claim

• NTechEdge is not liable for indirect, incidental, or consequential damages, including loss of business profit, arising from your use of or inability to use the App

• DokaanIQ AI recommendations (seasonal alerts, stock suggestions, profit insights) are generated from historical data patterns and are provided for informational purposes only - they do not constitute financial or business advice, and NTechEdge is not liable for business decisions made based on such recommendations

11. Termination

NTechEdge reserves the right to suspend or terminate your account for violation of these Terms, non-payment of subscription fees, or activity that we reasonably believe is harmful to NTechEdge, other Users, or third parties. Upon termination, your access to the App will cease; data export options (see Document 2, Section 6) remain available for a limited period as described therein.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People's Republic of Bangladesh. Any dispute shall first be attempted to be resolved through good-faith negotiation; if unresolved within 30 days, the dispute shall be submitted to the competent courts of Dhaka, Bangladesh.

13. Changes to These Terms

NTechEdge may update these Terms from time to time. Registered Users will be notified of material changes via SMS, WhatsApp, or in-app notification at least 14 days before such changes take effect. Continued use of DokaanDigit after changes take effect constitutes your acceptance of the revised Terms.
